Engagement Terms

Please read through the terms and conditions that will guide our work together to ensure we are all on the same page.

While we strive for quality work, we can’t guarantee that our work will be 100% error-free and we can’t be liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if you’ve advised us of them.

 

Scope of Work Changes: Fixed-fee contracts are beneficial for planning purposes, but due to the nature of the creative process, they can sometimes feel limiting. We don’t want to limit either your options or your opportunities to change your mind. The provided investment within this agreement is based on the amount of work we estimate we’ll need to accomplish everything that you have told us you want to achieve.

If you wish to have additional pages or new functionality added to your initial site launch (rather than as part of your monthly retainer after launch) that won’t be a problem. However, you will be charged accordingly and these additional costs will need approval via a change order before the extra work commences. This additional work may also affect project deadlines and they will be moved accordingly. We’ll be upfront about all of this to make sure we’re all on the same page before proceeding. We also ask you to put requests in writing so we can keep track of the requested changes.

 

Design & Development Revisions: Inbound Design Partners is happy to expand the scope of work and make as many rounds of revisions as needed, at an additional investment.  

With that said, this agreement includes up to three (3) rounds of revisions to refine and reach a final website design, and up to three (3) rounds of revisions to the live stage to reach the final approved launch site.

 

Final Ownership: This engagement is work-for-hire, which means you are hiring Inbound Design Partners to deliver a specific scope of work. The final approved deliverables will be provided upon completion. Full ownership and control over the final deliverables are provided once the engagement fee is paid in full.

 

Client-Provided Assets: You guarantee that you own, have a license for, or have permission to use all content, artwork, and assets provided to Inbound Design Partners. Content must be provided in an editable format. Photographs must be supplied in a high-resolution digital format. Graphic files must be provided as vector files or at a high resolution.

 

Availability: Inbound Design Partners is available by email and specific time block calendar appointments for video conferencing Monday through Friday from 9:00 am to 4:00 pm Central time. Clients with monthly retainers in place receive a same-day priority response. If you contact our team outside the hours of 9:00 am to 4:00 pm Central time Monday through Friday, you will receive a response the next business day. Email and Zoom are the primary means of communication accepted for our work together. Please do not use social media private messaging to communicate about your project, as you will not receive a response.

 

Third Parties: Inbound Design Partners is not responsible for any problems or delays caused by website hosting, domain registration, email marketing services, merchant account providers, shipping providers, or other third-party vendors, including but not limited to printers, e-commerce merchants, virtual assistants, social media sites, mail houses, plugins, or manufacturing and production facilities.

 

Portfolio Inclusion: Inbound Design Partners loves to brag about clients and show off their brands and websites and reserves the right to use this project in a portfolio case study, display your logo and link to your website on our website or as part of our portfolio, and/or write about our work together in marketing materials. Any mention of your brand or name will be done so with respect and in a positive light while keeping sensitive information private.

 

Video And Audio: Inbound Design Partners is not a video/audio production or hosting company. Video/audio files for your website must be supplied in a final, web-ready version or using the embed codes from your hosting provider. Inbound Design Partners is happy to recommend video/audio production and hosting solutions.

 

Website Hosting: Inbound Design Partners will work with you to secure quality website hosting and/or work with your hosting provider as needed to launch your approved website. Transferring domain names, setting up email addresses, working within your email marketing platform, cleaning up existing hosting/email marketing accounts, or anything else that is not directly related to the outlined scope of work is not included.

 

Software: If WordPress development, Inbound Design Partners may suggest the use of a premium WordPress plugin (not free) or other paid software. If you choose to use a paid plugin or other software that requires a fee, you are required to purchase the license and provide access for our team to complete our work together. This ensures you retain control of the software powering your business and receive future updates as included in your license.

 

Browser Testing:  Browser testing means ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device. Work done within this engagement will be tested in the current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Edge), and Mozilla (Firefox), as well as the native mobile browsers for iOS and Android. Testing compatibility for outdated /obscure browsers is available at the hourly rate of $150/hour.

 

Warranty: A 30-day warranty is included for custom themes, custom modules, and custom plugin code written by Inbound Design Partners that begins on the date of the website launch. The warranty provides assurance that the website software will meet requirements as outlined in the scope of work and covers reported bugs (programming errors) that exist in the custom code provided upon launch. Bugs reported within the warranty period will be fixed with no additional fees.

Inbound Design Partners is not responsible for user-caused errors or errors caused by poor administrative practices, including but not limited to failure to back up files, failure to update software/plug-ins, failure to follow proper security protocols, the addition of conflicting plug-ins or software, and editing or adding new code. Inbound Design Partners is not responsible for mitigating future website issues caused by future HubSpot or WordPress releases, plugin releases, or changes to third-party platforms and/or providers. Software updates or changes to the website by anyone other than Inbound Design Partners that cause site issues are not covered under warranty.

Inbound Design Partners does not warrant that our work will achieve any particular result(s).

 

Exclusivity: This engagement does not limit new business opportunities for Inbound Design Partners in any way. If industry exclusivity is required, Inbound Design Partners is happy to have a conversation about exclusivity and the commensurate compensation so you can choose the path forward that best fits your needs.

Project Dormancy: Sometimes life happens and you may need to pause work. That is acceptable if Inbound Design Partners is notified, made aware of the situation in advance, and is able to make alternate arrangements.

If you disappear or cease communications during this engagement and there is no activity or collaboration for 30 days, all work for this engagement will be put on hold and archived. There is a $750 reactivation fee to unarchive and restart the engagement.

If the engagement remains inactive with no communication or significant forward progress for an additional 15 days beyond the 30-day dormancy period (45 days total), this engagement will expire, no refunds will be available, and you will forfeit all deliverables. 

 

Cancellation: If at any stage you’re not happy with the direction work is taking, you may cancel this contract. To cancel, you’ll pay in full for the time invested to date, for everything produced to that point, and for the time required to close out the engagement and hand off the work that has been completed.

The first payment of our agreement is non-refundable, regardless of when the project is canceled. If Inbound Design Partners must cancel the contract, you will receive all work produced to date, and if applicable, a refund for work not yet completed.

WHAT DO BOTH PARTIES AGREE TO DO?

As our client:

  • You acknowledge you have the power and authority to enter into this contract on behalf of your company or organization.
  • You agree to provide us with everything necessary to complete the project – including text, images, and other necessary information – as and when we need it and in the format requested.
  • You agree to review our work and provide feedback and approval in a timely manner as well.
  • Deadlines work two ways and you’ll also be bound by any dates that we set together.
  • You agree to stick to the payment schedule outlined in this document

As your partner:

  • We acknowledge that we have the experience and ability to perform the services outlined in this document and we will carry them out in a professional and timely manner.
  • We agree to sincerely strive to meet all deadlines (provided all requested assets and client feedback has been provided in a timely manner).
  • We agree to provide quality work and excellent client service.
  • We agree to maintain the confidentiality of any information you give us.
